Directors Explore Complex Issues

>> Tri-County EMC Directors Sammy Hall, Chester Mercer, Marion Nelson and Chairman Tom Thompson recently attended training to explore complex issues and responsibilities associated with serving on an EMC board of directors. “The electric utility business is constantly changing,” said A. Paul Wood, president and CEO of Georgia EMC. “The range of issues that directors deal with is staggering, and it requires a vigilance and commitment on their part to continually educate themselves on the latest trends and developments in the energy industry.”

During the sessions, directors learned the latest in strategic planning, financial oversight, new and emerging technologies, emergency response planning and the complex issues associated with rate decisions. “These men and women have a solid understanding of their responsibilities as a director,” said Wood. “This training allows them to expand their body of knowledge.”

Directors are elected by members to provide oversight and guidance to senior management at Tri-County EMC who are responsible for the day-to-day operations of the co-op. The core responsibility of the board of directors is to exercise their fiduciary duty to act in the best interest of Tri-County EMC and its consumer-members. Directors rely on input and recommendations of the cooperative’s senior management, outside advisors and auditors. (34327-01)
